The Statute


Of the Romanian Association of Reserve Officers

Chap. I GENERAL PROVISIONS

Art. 1 The Romanian Association of Reserve Officers (RARO) is an organization of both physical and juridical persons, nongovernmental, unprofitable, autonomous and apolitical, established according to the Governmental Decision no. 26/2000, regarding associations and foundations, together with subsequent adjustments and completion.

Art. 2 The RARO is organized and it develops its activity according to the Constitutive Act and to the present Statute.

Art. 3 The present Association is established within an unlimited period of time and it develops its activity on the territorial principle. The head office of the present Association is in Bucharest , Litoralului Street no. 74, sector 2.

Art. 4 The RARO concludes conventions, protocols, etc both with internal associations and organizations and similar associations from abroad, members of the Interallied Confederation of Reserve Officers (CIOR) or with quality of observer and also as its guest.

Chap. II. THE ASSOCIATION’S GOALS AND OBJECTIVES

Art. 5 The Romanian Association of Reserve Officers has as principal purpose to contribute to the training of reserve officers for participating to defense of the country, if needed, through all its activities, supporting the active effort done by General Staff or Romanian Military.

Art. 6 The Romanian Association of Reserve Officers has as a goal the following issues:

6.1 To maintain and to develop the feeling of love for country and for the national flag among the members of the present association, the respect for the laws and country’s constitution and for the legally constituted organs in Romania.

6.2 To cultivate and to develop the feeling of esteem, respect and attachment to the democracy values promoted by NATO organization. It has to support the objectives of national security and of the North-Atlantic Alliance.

6.3 To develop the sense of duty, solidarity and of fellowship among the members of the Association and among the still active military personnel and also together with active militaries and in reserve from the NATO member states and others, too.

6.4 To be a link between army and civil society.

6.5 To strengthen and to devote the adhesion feeling and the active participation of its members at the national effort regarding ensure of peace, freedom, statehood, and territorial independence of Romania and also at the NATO effort for creating a regional and global secure environment.

6.6 To promote activities and cooperation contracts with similar associations, members of the CIOR, according to the bilateral agreements and to the statute of this Confederation.

6.7 To contribute to the maintaining and improving of officers’ training and experience, stimulating the interest for learning the English and French languages and others whose study is organized by the General Major State and also for learning the new types of military weapons, military technique, to learn its way of use, the new methods and forms of leading a fight.

6.8 To cultivate the respect for the heroes who died for freedom, independence and sovereign of Romania , for democracy and for keeping the Romanian people’s integrity and also to contribute to the education of the new generation by a national spirit manner, by the glorious historical past, and the army’s fighting traditions, by love for people.

Art. 7 The Association’s objectives are the following ones:

7.1 To inform periodically all the members about the main aspects of the international political-military situation, about the contemporary military’s evolution phenomenon with the newest information on the NATO strategy and on national security concepts of other modern states.

7.2 To inform the association’s members about the effected adjustments concerning the Romania ’s national defense problems in compliance with official norms for classifying the information.

7.3 To accomplish information exchange of mutual interest with similar association from abroad.

7.4 To organize sportive activities, military-applicative, and of training and to stimulate the interest for improving the military individual training of the officers in reserve.

7.5 To establish the own means of mass-media for the use of the association’s members and for achieving its main goals and objectives.

7.6 To establish own social protection for reserve personnel.

7.7 To present clear proposals to the Ministry of National Defense in order to improve the association’s activity.

Chap. III THE ASSOCIATION’S MEMBERS - WAY OF GETTING AND LOSING THE QUALITY OF MEMBER

Art. 8 The RARO is established by titular members and members of honor.

8.1 The titular members are the ex-generals (admirals) and officers in reserve from all the weapon range, able for military service that received a military grade following to a corresponding experience and training, they were or not active military personnel, they are Romanian citizens, without difference of nationality, sex, political and religious sympathizer - that know the Association’s statute and request, individually, in writing the quality of being a member.

8.2 Honor members are those come from generals (admirals) and officers in reserve that did really support the RARO’s establishing or from the military personnel that are “retreated” but who had a continuous activity as titular members inside the Association and who supported its well functioning by their improved qualities and experience achieved during their active period. Their number will not exceed per total of RARO 8-10% from the number of titular members. The titular members of RARO when “retreat” time can go to the National Union of Military Personnel in Retreat or Reserve and they can beneficiate of all the rights and obligations provided in its statute.

Art. 9 The quality of becoming a member is achieved by a written consent and also on the basis of an initiation fee and on a monthly tax established by the General Assembly or Advisory Board. This tax is put on a member card and when paying it is issued a receipt, according to the law into force.

Art. 10 The quality member of RARO is lost by the ones who does not respect the association’s statute, wish to retreat, they do not pay the taxes within a year or they are convicted, by a legal irrevocable decision, to punishment deprived of freedom.

There are also incompatible with RARO all those facts that are directly or not oriented towards national fundamental interests and NATO’s and also that are against the democracy, universal human rights, or they disseminate xenophobia, chauvinism, racism, religious intolerance and the extremism of any kind.

Chap. IV MEMBERS’ RIGHTS AND OBLIGATIONS INSIDE THE ASSOCIATION

Art. 11 The members of the Romanian Association of Reserve Officers have the following rights:

11.1 To vote and to be elected as the board members of the associations.

11.2 To participate at the Association’s General Assembly, to talk and to be present at the arisen problems of the Association’s good functioning and development.

11.3 To be periodically informed or by request about the developed activity by the management board.

11.4 To participate at the internal and international trips and travels organized by the association.

11.5 To collaborate for publishing of materials for the central and local military press of Ministry of National Defense for the magazine “Army’s Reserve” and for the own association’s press.

11.7 To retreat from the Association when he personally considers, by a prior written notice at the organization where he activates.

Art. 12 The association’s members have the following duties:

12.1 To observe and support the provisions of the present Statute and the decisions of the Association’s Board.

12.2 To know the statute of the active military personnel, to know and to respect and to put into practice the provisions of the present association’s statute.

12.3 To know the NATO’s strategic concepts and of national security of Romania.

12.4 To bring contribution for association’s development, by an active, concrete and pragmatic attitude by consequent promoting of its principles, established by the statute and also by bringing new members.

12.5 To act for achieving RARO’s goals and main objectives.

12.6 To have preoccupation and behavior compatible with the quality of officer of Romanian army and to prove esteem and respect any time for the militaries of the allied armies.

12.7 Not to develop political propagandistic activities inside the association, in favor or not of a certain party or political formation, or on occasion of organized manifestations by this one.

Chap. V ORGANIZATION, MANAGEMENT, CONTROL

Art. 13 The association has the following management and control board:

- The General Assembly of the Association’s members;

- Advisory Board;

- Censor/Censors’ committee;

Art. 14 All the Advisory Board and each member of it is responsible of the corresponding organ’s activity in front of the General Assembly.

Art. 15 The General Assembly of the Association’s members is the supreme one and it comprises the total number of its members.

Art. 16 The General Assemblies of the association’s members meet on the ordinary session, respectively extraordinary as it follows:

16.1 On the ordinary session, once a year, and on the extraordinary session any time there are important problems to be solved that are subject to the General Assembly’s competence.

16.2 The convocation of the General Assembly on the ordinary session is made by the Advisory Board, in writing or by phone (with confirmation receipt in a register kept at the subsidiary) and also by posting it at the head office of the Association (Subsidiary). On the convocation there will be specified the day, the time and the date where develops the general assembly and also the agenda.

16.3 The convocation of the extraordinary assembly is made at the Advisory Board’s initiative or at the proposal of 1/3 from the Association’s members. (Subsidiary).

Art. 17 The General Assembly is held if there are present at least 2/3 from the total of the existing members.

Art. 18 All the decisions of the General Assemblies are made by voting half plus one of the present members, except statute’s approval and adjustment when it has to be at least a majority of at least 2/3 of the present delegated representatives.

Art. 19 Each delegated member has the right to a single vote and all the decisions and discussions are written in a statement registry by a secretary designated by the Advisory Board.

Art. 20 The General Assemblies duties are the following ones:

20.1 It analyzes and approves the activities developed by the association’s management board.

20.2 It establishes all the objectives and plans for the next period (year).

20.3 It approves, if necessary, adjustments and annexations at the association’s statute.

20.4 It approves the statement of the Censors’ Committee regarding the budget.

20.5 It selects the Advisory Board and the Censors’ Committee.

20.6 . It approves to register the Subsidiaries of the Association (subsidiaries’ establishments).

20.7 It approves the liquidation of the association and establishes the destination of the assets after liquidation.

Art. 21 When General Assemblies of the association’s members, there can also be invited representatives of the Ministry of the National Defense and of other military and civil institutions the association collaborates with, representatives of the press, mass-media, radio, television, and also of similar associations from country and abroad, members of CIOR.

Art. 22 All the decisions taken by the General Assembly are compulsory for all the members, including for the ones who voted against.

Art. 23 The Advisory Board of RARO is the executive power of the association between the General Assemblies and it is elected by the General Assembly for a four-year period. The leading position of the Advisory Board’s members can be renewed within an ordinary meeting held by the General Assembly.

Art. 24 The Advisory Board can meet any time the activities provided in the statute demand it and it ensures the execution of the General Assembly’s decisions.

Art. 25 The Advisory Board has the following duties:

25.1 To present the General Assembly the statement of a previous activity regarding the achieving of the association’s goals and it proposes corresponding actions.

25.2 To present the General Assembly the situation of the budget with incomes and expenses, the accounting balance sheet, the project for incomes and expenses budget and the project for the association’s programs.

25.3 To conclude judicial documents in the name an on behalf of the association.

25.4 To ensure the permanent flow of the association’s activity for the General Assembly to achieve its goals, according to the provisions of the Association’s Statute.

25.5 It establishes the subscribing fee and the monthly tax for the members.

25.6 It establishes the head office movement.

25.7 It approves the organizational chart and personnel’ policy.

25.8 It establishes the members of the Association who have to receive salaries and the subscription and the annual fee for all members, too.

25.9 It accepts the donations for the Association.

25.10 It accomplishes any other duties established by the General Assembly.

Art. 26 The Advisory Board prepares the General Assemblies, both ordinary and extraordinary and it takes care of their good developing.

Art. 27 The Advisory Board is liable of the entire activity in front of the General Assembly.

Art. 28 Each member of the Advisory Board is individually responsible for his acts in case of infringing the law or received orders.

 Art. 29 The Advisory Board can be made by external persons in the limit of at least ¼ of association’s membership.

Art. 30 The financial control of the RARO is assured by one Censor/Censor’s Committee elected by General Assembly.

Art. 31 The Censors’ Committee/ The Censor represent the organ of internal financial control of the association. They are elected for a two-year period and they can be reelected. They receive fixes salaries established by the Advisory Board of the Association.

Art. 32 The Censors’ Committee has the following duties:

32.1 It checks the way the association’s assets are distributed and it prepares statements for the General Assembly.

32.2 It can participate at the Advisory Board’s meetings without being able to vote.

32.3 It accomplishes all other duties established by the General Assembly.

Art. 33 The censors will let the Advisory Board know all the legal infringements regarding the association’s assets.

The members of the Advisory Board can’t be censors and either:

- the person who gets any other salary or remuneration from the association;

- the incompetent or condemned persons for trust abuse, fraud, dilapidation, etc.

Chap. VI THE ASSOCIATION’S ASSETS

Art. 34 The initial asset of the Association is in total amount of 6.000.000 ROL. The entire asset will be kept according to the law into force and it will be used for the association’s purposes.

Art. 35 The Association’s incomes can come from:

- the members’ tax and initiation fees;

- interests and dividends resulted from distributing legally the available amounts;

- donations, sponsorships or both;

- other incomes.

Art. 36 The Association’s money and subsidiaries’ are kept in a bank account.

Art. 37 The expenses are made on the limit of the provided budget, on justifiable legal documents, and approved by the Association’s President.

Art. 38 The members of the leadership and those of the central organ develop a volunteer activity. These can receive money, discount for delegations’ expenses, and transport along the traveling if on association’s interest. All the personnel that develops permanent activities beneficiates, besides the above mentioned issues, of the rights of an ordinary employer, according to the law into force.

Art. 39 The Advisory Board can approve the establishing and developing of some assistance units of CAR type but under the law into force.

Chap. VII THE ASSOCIATION’S DISBANDMENT AND LIQUIDATION

Art. 40 The RARO disbands:

- of the right;

- by judicial decision;

- by the General Assembly’s decision.

Art. 41 The association disbands of the right and by judicial decision when provided by the law.

Art. 42 The association can also be able to disband by General Assembly, case when there is to be lodged a statement to the Law Court , within 15 days from the meeting on disbandment, in order this statement could be able to be written on the Associations and Foundations’ Registry book.

Art. 43 The Association’s disbandment has as result its liquidation according to the law into force. The remained assets following to the association’s liquidation will be distributed to the juridical persons of private right or public one on similar or identical purpose.

Chap. VIII. FINAL AND COMMON DISPOSALS

Art. 44 The association can constitute subsidiaries by the General Assembly’s decision according to legal adjustments into force.

Art. 45 The RARO has seal and its own signs.

Art. 46 The present statute is valid for all the association’s developing period, its corresponding adjustment or its completion following to be made in writing only together with the legal rules’ accomplishment.

Art. 47 The present Statute is approved by the General Assembly of the The Romanian Association of Reserve Officers (RARO).
